Terms of Service

1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of NotepadMD software ("Software" or "Service") provided by York Code Limited ("we", "us", "our").
By downloading, installing, or using NotepadMD, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
2. Definitions
- Service: The NotepadMD software application and related services
- Software: The NotepadMD desktop application for Windows
- Licence: The legal permission to use the Software
- Free Licence: The no-cost licence for personal use and small businesses
- Pro Licence: A paid licence (Pro Personal or Pro Business)
- You: The individual or entity using the Software
3. Licence Types
NotepadMD is licenced, not sold. York Code Limited grants you a non-exclusive, non-transferable, limited licence to use the Software subject to the terms below.
3.1 Free Licence — Personal & Small Business
NotepadMD Core is provided free of charge for:
- Personal use by individuals
- Businesses with fewer than 5 employees
3.2 Free Licence — Enterprise Evaluation
Businesses with 5 or more employees may use the Core edition of the Software for evaluation purposes only, subject to the following conditions:
- No more than 10 users within the organisation may use the Software during the evaluation period.
- The evaluation period is limited to a maximum of three (3) months from the date of first use within the organisation.
- Continued use of the Software after the evaluation period, or by more than 10 users, requires a Pro Business Licence.
3.3 Pro Personal Licence
Pro Personal is a one-time purchase (2-year licence) for individual supporters. Benefits include:
- All features included in Free Licence
- Priority support
- Access to future premium features
- Supporting independent software development
3.4 Pro Business Licence
Pro Business is a per-user subscription for teams and organisations with 5 or more employees. Benefits include:
- Everything in Pro Personal
- Volume Licencing management
- Priority business support
- Team administration features
4. Payment Terms
4.1 Payment Processing
All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle is responsible for:
- Processing payments securely
- Handling VAT/sales tax collection and remittance
- Issuing invoices and receipts
- Managing subscriptions and renewals
By purchasing a Pro Licence, you also agree to Paddle's Terms of Use and Privacy Policy.
4.2 Pricing and Currency
Prices are displayed in multiple currencies (USD, GBP, EUR). The final price may vary based on your location due to currency conversion and applicable taxes.
4.3 Automatic Renewals
Pro Business subscriptions automatically renew annually unless cancelled before the renewal date. You can cancel your subscription at any time through your Paddle account.
5. Refund Policy
All orders and transactions are processed by our Merchant of Record, Paddle.
Refunds are provided at the sole discretion of Paddle and on a case-by-case basis and may be refused. Paddle will refuse a refund request if they find evidence of fraud, refund abuse, or other manipulative behaviour that entitles Paddle to counterclaim the refund. Please refer to Paddle's Invoiced Consumer Terms for complete details on their refund policy.
This does not affect your rights as a Consumer in relation to Products which are not as described, faulty or not fit for purpose.
How to Request a Refund
To request a refund, please:
- Contact Paddle support directly via paddle.net, or
- Email with your order details and we can review your case and liaise with Paddle.
6. Intellectual Property
NotepadMD and its original content, features, and functionality are owned by York Code Limited and are protected by international copyright, trademark, and other intellectual property laws.
Your Content: Your documents and content remain your property. NotepadMD does not claim any rights to content you create using the Software.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Software
- Redistribute, resell, or sublicense the Software
- Create derivative works, modifications, or other products based on the Software or any part thereof
- Remove or alter any proprietary notices or labels
- Use the Software for any illegal purpose
- Share or distribute your Pro Licence key with others
- Circumvent licence validation or activation mechanisms
8. Disclaimer of Warranties
NotepadMD is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
We do not warrant that the Software will be free of bugs, security vulnerabilities, or other harmful components. Use at your own risk.
You acknowledge that software is inherently complex and may contain bugs, errors, or other issues. By using the Software, you accept that the existence of such issues does not in itself constitute a breach of these Terms.
9. Limitation of Liability
To the fullest extent permitted by law, in no event shall York Code Limited, its directors, employees, or affiliates be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Service interruptions or data loss
- Any damages arising from your use or inability to use the Software
Our total liability for any claim arising from these Terms or the Software shall not exceed the amount you paid for your Pro Licence (or £100 if you use the Free Licence).
10. Termination
This licence is effective until terminated. Your rights under this licence will terminate automatically, without notice from York Code Limited, if you fail to comply with any term of these Terms. Additionally, we reserve the right to suspend or terminate your licence if you violate these Terms, including but not limited to:
- Sharing your Pro Licence key
- Reverse engineering the Software
- Using the Software for illegal activities
- Exceeding the permitted number of users under the Free Licence
- Continuing to use the Free Licence beyond the permitted enterprise evaluation period
Upon termination, you must immediately cease all use of the Software, uninstall it from all your devices, and destroy all copies in your possession.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on our website or within the application.
Continued use of the Software after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from these Terms or the Software shall be subject to the exclusive jurisdiction of the courts of England and Wales.
